Bonfiglioli Transmissions will make its stock market debut today, October 23, with its shares listing on the BSE and NSE. The Bonfiglioli IPO, a Rs 2,533.66-crore offer for sale, closed last week with demand running to 46 times the shares on offer.

The grey market is pointing to a positive start. The Bonfiglioli IPO carried a grey market premium of about Rs 62 per share ahead of the debut, The Economic Times reported, which implies a listing near Rs 648, roughly 11 per cent above the Rs 586 upper end of the price band.

The issue ran from October 15 to October 19 with a price band of Rs 558 to Rs 586 per share. It was subscribed 46.05 times overall, which puts total bids at about Rs 1.17 lakh crore against the Rs 2,533.66-crore issue size. The five-day bidding window is longer than the usual three-day schedule for Indian IPOs, giving investors extra time to enter bids.

In an offer for sale, existing shareholders sell their shares to the public. The company’s share count does not change and no fresh capital comes into the business, unlike a fresh issue where the money raised goes to the company.

Bonfiglioli IPO subscription: QIB book ran to 120 times

Qualified institutional buyers drove the bidding. The QIB portion was subscribed 120.78 times, the strongest demand among the categories. Non-institutional investors bid 40.39 times their quota, while the retail portion was subscribed 5.90 times.

The gap between the 120.78-times institutional book and the 5.90-times retail book shows where the heaviest demand sat. The Bonfiglioli IPO was a pure offer for sale of 4.32 crore shares, which means the company itself receives no proceeds and the money goes to the selling shareholders. For the selling shareholders, the listing creates a public market price for the first time and a route to sell down holdings in the future.

The issue closed on October 19, and the days since have followed the usual allotment and credit timetable ahead of listing.

What the Bonfiglioli IPO grey market premium signals

Grey market premiums are informal and unregulated quotes, and they can move sharply on listing day, so the Rs 62 premium is only a signal. Grey market quotes can be wrong, and the actual debut price is discovered when trading begins.

For allottees, the reference points are the Rs 586 issue price and the Rs 648 level implied by the grey market. A debut near the grey market quote would mean an 11 per cent gain on day one; a listing closer to Rs 586 would leave that premium unrealised.

Bonfiglioli is one of two mainboard debuts today, with Sahajanand Medical Technologies also listing, making October 23 a double listing day for new stocks. Two listings on the same day split attention, but each stock trades on its own book and the debut price is set independently in the pre-open session.

Bonfiglioli IPO listing day: what to watch

For the Bonfiglioli IPO, the session will test whether the grey market’s implied Rs 648 holds. Shares allotted in the issue are credited to investors’ demat accounts before listing, and trading begins with the price discovered in the pre-open session. Listings that open with a premium sometimes cool as early allottees book profits, while firm institutional holding can support the price through the session. Early trading can be volatile as price discovery settles, and volumes in the first hour often run high as allottees who applied for listing gains exit and longer-term buyers enter.

With 4.32 crore shares changing hands through the offer for sale, today’s listing will establish the first public market price for the stock.

The book-running lead managers for the Bonfiglioli IPO were Axis Capital, BNP Paribas, ICICI Securities and Jefferies India, with MUFG Intime India as the registrar, The Economic Times reported. The shares list on the BSE and NSE today, October 23. Trading will show whether the grey market read the debut right.
