Mumbai, October 19 — HDFC Bank, India’s largest private sector lender, on Saturday announced that its deputy managing director Kaizad Bharucha has decided to step down, requesting cessation from the bank’s service with effect from the close of business hours on December 31, 2026. The board accepted his request at meetings held on October 16 and 17 and will forward it to the Reserve Bank of India for regulatory approval.
Kaizad Bharucha, 60, has been with HDFC Bank since October 1995 — a career spanning more than three decades. He was elevated to the board as a whole-time director in 2014 and assumed the role of deputy managing director in April 2023. One of the lender’s most senior executives, he has overseen wholesale banking, credit and critical risk-management functions across multiple economic and financial cycles.
Kaizad Bharucha Exit Comes Days Before Anup Bagchi Takes Charge
The planned departure of Kaizad Bharucha comes just days before ICICI Group veteran Anup Bagchi assumes charge as managing director and chief executive officer on October 27, 2026. Bagchi, formerly chief executive of ICICI Prudential Life Insurance, joined HDFC Bank’s board as an additional director on October 2 after the RBI approved his appointment for a three-year term.
He was widely viewed as a leading internal candidate for the top job and had been recommended by the bank’s board for the MD and CEO position. However, the central bank cleared Bagchi instead, prompting a broader recalibration of the top deck. The decision to quit, announced days before the leadership handover, marks the first high-profile executive exit of the transition.
In its exchange filing, the bank said the Nomination and Remuneration Committee and the board considered and accepted Kaizad Bharucha’s request at their respective meetings, initiating the formal transition process. The board placed on record its appreciation of his contributions, describing him as a key architect of the bank’s growth and institutional strength, and noting his role in building its balance-sheet strength, risk-management framework and core credit architecture.
Kaizad Bharucha’s Three-Decade Legacy at HDFC Bank
A 30-year veteran, Kaizad Bharucha held wide responsibilities within the bank, spanning corporate banking, emerging corporates, business banking, investment banking, rural banking, healthcare finance, sustainable livelihood, retail assets and the mortgage business, alongside the inclusive banking initiatives group, corporate social responsibility and ESG functions.
The exit of Kaizad Bharucha coincides with the end of an era at the top: Sashidhar Jagdishan, the outgoing MD and CEO, decided in late August 2026 not to seek reappointment for a third term, and his tenure concludes on October 26. With two veterans moving on, HDFC Bank will soon have two new whole-time directors — Bagchi and another candidate. In September 2026, the bank sought RBI approval for the appointment of Jimmy Tata, currently chief credit officer, as an executive director for three years.
The leadership churn comes even as the bank’s numbers improved. In its recently announced quarterly results, HDFC Bank reported consolidated net profit rising 5.55 per cent to Rs 20,700 crore, while standalone profit increased 4.7 per cent to Rs 19,510 crore, with gains in loan growth and asset quality.
The timing gives HDFC Bank a two-month handover window: Bagchi takes charge on October 27 while Bharucha remains in service until December 31. The bank’s filing noted that the Nomination and Remuneration Committee and the board accepted his request at meetings on October 16 and October 17 respectively, and will now forward it to the RBI for regulatory clearance — the final step before the exit takes effect.
For India’s largest private lender, the change caps a turbulent year at the top. Sashidhar Jagdishan’s decision in late August not to seek a third term followed the abrupt resignation of the bank’s part-time chairman in March 2026, and the lender has since been rebuilding its senior ranks, including seeking RBI approval in September for chief credit officer Jimmy Tata’s appointment as executive director.
Analysts say the transition marks the most significant leadership reset at India’s largest private lender in years. How Bagchi reshapes the senior team — and whether more exits follow Kaizad Bharucha’s departure — will be closely watched in the quarters ahead.
