The Lionsgate takeover saga has taken a dramatic new turn. Legendary Entertainment has submitted a formal offer to acquire Lionsgate Studios, reviving acquisition talks that have simmered intermittently for more than a year, according to a Bloomberg report published on Tuesday that cited people familiar with the matter.

Shares of Lionsgate Studios (NYSE: LION) jumped more than 15 per cent during Tuesday’s trading session on the news, lifting the studio’s market capitalisation to roughly $3.6 billion, according to Variety. The rally marked one of the stock’s strongest single-day performances of the year and signalled that investors believe a deal may finally be within reach.

Neither company has confirmed the offer publicly. Representatives for Legendary and Lionsgate declined to comment on the report, and Bloomberg’s account did not include the price or terms of the proposal. What is clear is that the Lionsgate takeover discussion has moved from speculation to a concrete bid.

Why Legendary wants Lionsgate: inside the Lionsgate takeover logic

Legendary, the production company behind the Dune franchise, A Minecraft Movie and the Godzilla Monsterverse films, has a straightforward strategic motive: self-distribution. Legendary currently releases its theatrical films through a multiyear agreement with Skydance’s Paramount Pictures that began in September 2025. Acquiring Lionsgate would give the company its own theatrical distribution network, ending its reliance on a rival studio.

The Lionsgate takeover bid would also hand Legendary control of a vast content library of more than 20,000 titles that generates roughly $1 billion in annual revenue. The studio’s franchises include The Hunger Games, John Wick, Twilight and Saw, alongside this year’s blockbuster Michael Jackson biopic Michael, the first biopic to gross $1 billion worldwide.

Legendary is owned jointly by private-equity giant Apollo Global Management and the company’s management team. Apollo acquired a stake in Legendary in 2022 for $760 million, and in 2024 the company bought out the remaining holding of Chinese conglomerate Dalian Wanda Group. That buyout removed foreign-ownership constraints that had previously complicated large-scale dealmaking, according to Variety.

A Lionsgate takeover has been brewing since the Starz split

The latest Lionsgate takeover bid follows more than a year of on-and-off discussions. Legendary first explored a potential acquisition in July 2025, shortly after Lionsgate completed its formal separation from the Starz cable network in May 2025 and became a pure-play film and television studio. Since then, the two sides have maintained intermittent talks, the Bloomberg report said.

Legendary has not been the only suitor circling. European producers Banijay and Mediawan, along with France’s Bollore Group, have previously expressed interest in Lionsgate but have not submitted formal offers, according to TheWrap. Earlier this year, reports also said Netflix had explored the studio; the streamer later told TheWrap it was not interested. Netflix’s $83 billion bid for Warner Bros. Discovery’s studio and streaming assets collapsed earlier this year after the company declined to match a rival bid from David Ellison’s Paramount Skydance.

Pressure for a sale has also come from inside. Activist investor Anson Funds has been urging Lionsgate’s management to embrace artificial intelligence or sell the company outright. Lionsgate is scheduled to report quarterly results on November 5, a date that may now double as a forum for questions about the Lionsgate takeover offer.

What a Lionsgate takeover would mean for Hollywood

If completed, a Lionsgate takeover would mark one of the most significant studio combinations in recent Hollywood history. Legendary would gain not just a library and distribution pipeline but also a seat at the table in franchise filmmaking at a moment when intellectual property is the industry’s most valuable currency. Upcoming Lionsgate titles include the Noah Centineo-starring reboot John Rambo and Mel Gibson’s two-part epic The Resurrection of the Christ.

The bid also underscores how aggressively consolidation is reshaping the entertainment business. With streaming economics forcing studios to seek scale, mid-sized companies like Lionsgate have become prime acquisition targets. Legendary’s move suggests that even well-capitalised independent producers now see owning distribution as a prerequisite for competing with the giants.

For now, the Lionsgate takeover remains a proposal, not a done deal. Its path to completion is unclear, the terms are undisclosed, and both companies have declined to comment. But Tuesday’s market reaction made the verdict of Wall Street plain: this time, the bid may have real momentum.
