Oracle Corporation announced the pricing of concurrent offerings totaling about $20 billion on 2 November 2026, and the Oracle stock offering forms half of that financing. The company will sell 86,206,897 shares of common stock at $116.00 per share, for net proceeds of about $9.9 billion after underwriting discounts and estimated offering expenses. At the same time, Oracle will sell $10 billion of senior notes, for net proceeds of about $10 billion.

Both offerings are expected to close on 4 November 2026, subject to customary closing conditions. Completion of the Oracle stock offering is not contingent on completion of the notes offering, and completion of the notes offering is not contingent on completion of the stock offering. Each sale can therefore close on its own if the other is delayed.

Oracle stock sale price and size

The Oracle stock sale price of $116 per share was below the $119.20 level at which shares closed on Monday, and below the $141.25 simple 50 day moving average, according to Stocktwits reporting on the announcement. A discount to the last close is common in a large overnight sale, because buyers take on a large block of shares at once.

Oracle shares rose 5.85 percent on Tuesday, 3 November, after the pricing, according to market reports that day. That rise came even as the company added about 86.2 million shares to its count. During the prior quarter, Oracle had completed a separate $20 billion at the market equity offering, according to the same reporting.

BofA Securities is acting as sole global coordinator of the offerings. Wells Fargo Securities, Citigroup, BNP Paribas, Deutsche Bank Securities, J.P. Morgan, PNC Capital Markets, Goldman Sachs, HSBC, and SMBC Nikko are acting as joint book running managers. BTIG is a joint book running manager of the stock offering, and U.S. Bancorp is a joint book running manager of the notes offering.

Oracle stock offering and the notes package

The notes offering covers five maturities. Oracle will sell $2 billion of 7.000 percent notes due 2029, $1.75 billion of 7.450 percent notes due 2031, $2.25 billion of 7.850 percent notes due 2033, $2.5 billion of 8.000 percent notes due 2037, and $1.5 billion of 8.650 percent notes due 2046. At the announced principal amounts and rates, the five issues would cost about $777 million in annual coupon payments while all are outstanding, according to an analysis of the pricing terms.

The final debt package omitted a floating rate tranche that Oracle had initially outlined, Reuters reported. Investors are left with five fixed rate maturities, each with a different repayment date and coupon. The longest notes, due 2046, carry the highest coupon at 8.650 percent, while the shortest, due 2029, carry the lowest at 7.000 percent.

Oracle said it will use net proceeds for general corporate purposes, which may include capital expenditures, repayment of indebtedness, future investments or acquisitions, and payment of cash dividends on or repurchases of common stock. The company also said it intended to limit additional capital raising for its current investment cycle to $20 billion through fiscal 2030, excluding refinancing of existing debt, according to reporting on the pricing.

Oracle stock offering and cloud spending

Oracle offers integrated suites of applications plus secure, autonomous infrastructure in Oracle Cloud, according to its own description of the business. The financing arrives as the company builds out cloud capacity, and the proceeds give it cash for that buildout alongside debt repayment and other corporate uses.

The Oracle stock offering and the notes sale together raise about $19.9 billion in net proceeds, close to the $20 billion headline total before discounts and expenses. The stock portion accounts for about $9.9 billion and the notes portion for about $10 billion. Both are set to close on 4 November, subject to customary conditions, and Oracle has filed a registration statement on Form S-3 with the Securities and Exchange Commission for the offerings.

The Oracle stock offering follows a separate $20 billion at the market equity offering completed in the prior quarter. How the new Oracle stock sale proceeds are allocated across capital spending, debt repayment, and buybacks will be visible in later company filings.
